Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Angat platform, including any related websites, software, and services (collectively, the "Service"), operated by Easycom Japan Philippines Inc. ("Angat", "we", "us", or "our"), a corporation duly organized under the laws of the Republic of the Philippines, with principal office at Unit 3B Basic Petroleum Bldg., 104 C. Palanca St., Legaspi Village, Makati City, Philippines.
By accessing or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Angat is a cloud-based, multi-tenant Software-as-a-Service ("SaaS") platform providing human resources, payroll, time and attendance, and related administrative functions to organizations operating in the Philippines.
The specific features and modules available to you depend on the subscription plan agreed in your Order Form or written quotation.
3. Accounts and Registration
To use the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete registration information;
- Maintain the security and confidentiality of your login credentials;
- Promptly notify us of any unauthorized access or use of your account;
- Be responsible for all activities that occur under your account.
4. Subscription and Fees
4.1 Subscription Plans
The Service is offered on a subscription basis. Subscription fees, billing cycles, and included features are set out in the Order Form, written quotation, or invoice issued to you. All amounts are stated in Philippine Peso (₱) and are inclusive of 12% Value-Added Tax (VAT) unless otherwise stated.
4.2 Payment
You agree to pay all fees in accordance with the terms specified in your Order Form. Online payments may be processed through PayMongo Philippines, Inc., a payment service provider supervised by the Bangko Sentral ng Pilipinas (BSP). Accepted payment methods include credit and debit cards (Visa, Mastercard, JCB), GCash, Maya, GrabPay, and bank transfer.
4.3 Late Payments
If any undisputed amount is not paid by the due date, we reserve the right to suspend access to the Service until full payment is received. We may charge interest on overdue amounts at the rate of 1% per month or the maximum rate permitted by Philippine law, whichever is lower.
4.4 Taxes
All fees are exclusive of any applicable withholding taxes that you may be required to remit to the Bureau of Internal Revenue (BIR). Where withholding tax is required, you shall provide us with a valid BIR Form 2307 (Certificate of Creditable Tax Withheld at Source) for each payment.
5. Customer Data
"Customer Data" means any data, information, or content that you or your authorized users upload, submit, or otherwise transmit through the Service, including employee records and personal information of your employees.
You retain all rights, title, and interest in and to Customer Data. You grant us a limited, non-exclusive license to host, process, and transmit Customer Data solely as necessary to provide the Service to you.
You are solely responsible for the accuracy, quality, legality, and lawful basis for processing of Customer Data. Our processing of personal data is further governed by our Privacy Policy.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference.
7. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and other content (excluding Customer Data), is the exclusive property of Easycom Japan Philippines Inc. and is protected by Philippine and international intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term.
You may not (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or attempt to derive source code; (c) resell, sublicense, or commercially exploit the Service except as expressly permitted; or (d) remove any proprietary notices.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential. The receiving party shall use such information only for the purposes of these Terms and protect it with at least the same degree of care it uses for its own confidential information, but no less than reasonable care.
9. Service Availability
We will use commercially reasonable efforts to make the Service available with a target uptime of 99.9% per calendar month, excluding scheduled maintenance and events outside our reasonable control. We may perform scheduled maintenance with at least 48 hours' advance notice, typically outside Philippine business hours.
10. Warranties and Disclaimers
We warrant that the Service will perform substantially in accordance with its documentation. EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Angat is not a law firm, accounting firm, or tax advisor. The Service is a tool for administrative convenience and does not constitute legal, tax, or financial advice. You are responsible for ensuring your own compliance with applicable Philippine laws and regulations.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY PHILIPPINE LAW, IN NO EVENT SHALL EASYCOM JAPAN PHILIPPINES INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Easycom Japan Philippines Inc., its officers, directors, employees, and agents from any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) your violation of these Terms; (b) your violation of any law or third-party right; or (c) Customer Data, including any claim that Customer Data infringes a third party's rights.
13. Term and Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. Cancellation and refund procedures are governed by our Refund & Cancellation Policy.
Upon termination, your right to access the Service ceases. We will make Customer Data available for export for a period of thirty (30) days following termination, after which we may delete Customer Data from our systems.
14. Governing Law and Disputes
These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the proper courts of Makati City, Philippines, except that either party may seek injunctive relief in any court of competent jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
